These Terms of Service (“Terms”) govern your access to and use of the Simon platform and related services (the “Service”) provided by READY TO VUALA, S.L. (“Simon”, “we”, “us”, or “our”).
By accessing or using Simon, you agree to be bound by these Terms.
If you are using Simon on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
1. What Simon Is
Simon is an AI-powered finance intelligence platform that connects to enterprise systems (such as ERPs, banks, CRMs, data warehouses, and collaboration tools like Slack or Microsoft Teams) and enables finance teams to:
- Query financial data in natural language
- Generate reports and insights
- Receive proactive alerts
- Execute approved workflows
- Improve access to financial understanding
Simon is a system of understanding built on top of your system of record.
2. Eligibility & Accounts
To use Simon:
- You must be at least 18 years old.
- You must use Simon for business purposes.
- You must provide accurate and complete information.
- You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account.
3. Access & Use Rights
Subject to these Terms and any applicable commercial agreement, Simon grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.
You may not:
- Reverse engineer, copy, or modify the Service
- Attempt to extract source code or models
- Use Simon to build a competing product
- Circumvent security or access controls
- Use the Service for unlawful purposes
4. Customer Data
4.1 Ownership
You retain full ownership of all data you provide to or connect through Simon (“Customer Data”).
Simon does not claim ownership of your financial or operational data.
4.2 Use of Data
We use Customer Data solely to:
- Provide and improve the Service
- Generate responses, insights, and reports
- Maintain security and reliability
- Perform troubleshooting and support
We do not sell your data.
4.3 Aggregated & Anonymized Data
Simon may use aggregated and anonymized data for analytics, benchmarking, and product improvement, provided such data cannot reasonably identify your organization.
5. AI-Generated Outputs
Simon uses artificial intelligence models to generate responses, insights, recommendations, and analysis.
You acknowledge that:
- AI outputs are probabilistic in nature.
- Responses may contain inaccuracies.
- Financial decisions should not rely solely on automated outputs.
- Human review and professional judgment remain necessary.
Simon is designed to support finance teams — not replace professional responsibility.
6. Integrations
Simon may connect to third-party systems including but not limited to:
- NetSuite and other ERPs
- Banking platforms
- CRMs
- Data warehouses
- Slack, Microsoft Teams, Google Chat
Your use of third-party services is subject to their respective terms and policies.
Simon is not responsible for outages, API limitations, or changes made by third-party providers.
7. Security
We implement commercially reasonable security measures designed to protect Customer Data, including:
- Access controls
- Encrypted connections
- Role-based permissions (where applicable)
- Monitoring and logging
Enterprise-grade security features may vary depending on your subscription plan.
8. Confidentiality
Each party agrees to keep confidential information disclosed by the other party confidential and to use it only for purposes related to the Service.
This obligation survives termination of the agreement.
9. Feed & Payment
Fees are governed by your commercial agreement with Simon.
If applicable:
- Fees are billed annually unless otherwise agreed.
- Payments are non-refundable unless required by law.
- Late payments may result in suspension of access.
Design partner agreements or trial periods may be subject to separate terms.
10. Service Availability
Simon aims to provide reliable service but does not guarantee uninterrupted availability.
We may:
- Perform maintenance
- Modify features
- Improve or update functionality
- Temporarily suspend access for security reasons
We reserve the right to evolve the platform as part of ongoing product development.
11. Termination
You may terminate your use of the Service at any time.
We may suspend or terminate access if:
- You breach these Terms
- You misuse the platform
- Continued access poses legal or security risks
Upon termination:
- Your access will be revoked
- Customer Data will be handled according to your commercial agreement and applicable law
12. Disclaimer of Warranties
The Service is provided “as is” and “as available.”
Simon disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not guarantee that:
- Outputs will always be accurate
- The Service will be uninterrupted
- All errors will be corrected
13. Limitation of Liability
To the maximum extent permitted by law:
Simon shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits or business interruption
- Decisions made based on AI-generated outputs
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
14. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will update the “Last Updated” date and, where appropriate, notify customers.
Continued use of the Service constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of Spain, without regard to conflict of law principles.
Any disputes shall be subject to the jurisdiction of the courts of Barcelona, Spain.
